These Terms and Conditions (hereinafter, the "Terms") govern your access to and use of Nesxi (the "Service"), available at nesxi.com and builder.nesxi.com. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these conditions, you must not use the Service. Nesxi is operated by an individual ("Nesxi", "we", "us"), with official contact at info@nesxi.com.

Nesxi is a web platform designed to streamline the creation and publishing of professional websites for businesses and freelancers. Deterministic Processing and AI: The site structure, layout, and sections are built by Nesxi's deterministic engine, while integrated artificial intelligence assists in generating and adapting text content. Available Products: ·Code Export & License: Download the complete generated website as a compressed file (.ZIP) for free use and self-hosting (one-time fee). · Nesxi Managed Hosting: Publish and maintain the website hosted on Nesxi's infrastructure or subdomains (monthly subscription).

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, complete, and updated information, and to use the Service in strict compliance with applicable laws.

All payments for the Service are processed through Creem (creem.io), acting as the Merchant of Record (MoR). · Processing and Taxes: Creem is responsible for processing the transaction, issuing the corresponding invoice, and collecting or remitting applicable taxes (VAT, GST, or sales taxes depending on your jurisdiction). · Payment Terms: Any transaction made is subject to Creem's terms and privacy policies in addition to these Terms. · Financial Security: Nesxi does not store or directly process sensitive credit or debit card data.

· Website Package / Code License ($450 USD — One-time payment): Includes the generation of the complete website structure (8 sections) and access to download the optimized source code in ZIP format. · Hosting and Maintenance ($49 USD / month — Recurring subscription): Includes high-performance hosting, infrastructure support, and ongoing website maintenance within the Nesxi network. The subscription renews automatically every month and can be canceled at any time. Note: All prices are listed in US Dollars (USD) and may be adjusted in the future. Price changes will not affect active or previously paid hosting subscription periods.

· Hosting Subscription ($49/month): You can cancel your subscription at any time directly through the customer portal managed by Creem. Cancellation prevents future charges, and the service will remain active until the end of the current monthly billing period. · ZIP Code Download ($450 USD): Due to the immediately consumable and executable nature of downloadable software and source code, no refunds are offered once the .ZIP file download has been enabled or completed. · Technical Support and Exceptions: If you experience a technical failure that prevents you from correctly generating or downloading your website, you may contact us at info@nesxi.com within fourteen (14) days of purchase. Final refund management will be subject to Creem's dispute resolution policies as Merchant of Record.

· Your Content and Generated Code: Upon purchasing the download (.ZIP), you retain full ownership of the generated content and provided information, as well as a perpetual, non-exclusive, commercial license to host, modify, and use the source code on any server or platform of your choice without paying additional royalties. · Nesxi Technology: The Nesxi platform, its brand, interface design, algorithms, deterministic engine, and underlying technology remain the exclusive property of Nesxi. Purchasing the site does not grant rights to the underlying generator technology or the builder's internal software. · Subsequent Modifications: Nesxi assumes no responsibility for defects, design errors, or security vulnerabilities caused by manual code modifications made to the .ZIP source code by the user or third parties after download.

You agree to use the Service solely for lawful purposes. You are strictly prohibited from using Nesxi to: · Publish, host, or distribute illegal, defamatory, misleading, or non-consensual explicit content, or content that infringes on third-party intellectual property rights. · Transmit malware, viruses, or malicious code. · Attempt to breach, decompile, or reverse engineer Nesxi's internal infrastructure. · Use the service for unsolicited bulk email (SPAM) or fraudulent data harvesting (phishing). We reserve the right to suspend or terminate access or hosting for any website that violates these guidelines, without entitlement to a refund.

We strive to maintain continuous uptime and high-performance infrastructure (PageSpeed 100/100). However, the Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that the service will be uninterrupted or completely error-free due to scheduled maintenance, updates, or third-party cloud/network outages beyond our control.

To the maximum extent permitted by applicable law, Nesxi shall not be liable for any direct, indirect, incidental, special, or consequential damages (including, without limitation, loss of profits, business interruption, or loss of data) arising out of the use or inability to use the Service or generated websites.

We reserve the right to modify these Terms at any time. We will publish the updated version with the revised date on the website. Continued use of the Service following the posting of changes constitutes acceptance of those changes.

These Terms are governed by and construed in accordance with the laws of the Republic of Argentina. Any dispute arising from this contract shall be submitted to the courts of the Republic of Argentina, without prejudice to mandatory consumer protection regulations applicable in the user's country of residence.
